TERMS AND CONDITIONS

1. GENERAL SCOPE OF COVERAGE:

This agreement covers both the labor and material for adjustments and replacements of parts as required by normal use of the equipment, subject to the exceptions in and in accordance with these terms and condition. This Agreement does not cover charges for installation of equipment or dc-installation of equipment if it is moved. Damage to the equipment or its parts arises out of or other causes beyond control of Seller are not covered by this Agreement and any subject customer to a surcharge or to cancellation of this Agreement. In addition, Seller may terminate this Agreement if the equipment is modified, damaged altered or serviced by personnel other than those employed by Seller, or if parts, accessories or components not authorized by Seller are fitted to the equipment. In addition, customer is responsible providing electrical wiring and receptacle recommended by product manufacturer.

2. SERVICE CALLS:

Service calls under this Agreement will be made during normal business hours at the installation address shown on the reverse side of the Agreement. Travel and labor time for the service calls after normal hours, on weekends and on holidays, if and when available, will be charged at overtime rates in affect at the time the service call is made. Seller representatives will not handle, disconnect or repair unauthorized attachments or components; customer is responsible for disconnecting and reconnecting unauthorized attachments or components, customer hereby indemmifies and holds Seller and its employees harmless for claims for damages to any unauthorized parts, components or accessories resulting from service performed on Seller equipment covered by this Agreement.

3. EXTENT OF LABOR CALLS:

Labor performed during service calls includes lubrication and cleaning of the equipment and the adjustment, repair or replacement of parts described in Paragraph 4.

4, REPAIR AND REPLACEMENT OF PARTS:

All parts necessary to the operation of the equipment, and subject to the general scope of coverage, will be furnished free of charge during a service call included in the maintenance service provided by this Agreement. Exceptions are listed under Excludes on the reverse side of Agreement for plan indicated.

5. RECONDITIONING:

THIS PARAGRAPH IS NOT APPLICABLE TO COPIERS CONTINUOUSLY COVERED BY SELLER’S GUARANTEED PERFORMANCE. Rebuilding or major overhauls are not covered by this Agreement. In addition, when in its sole discretion Seller determines that a reconditioning is necessary, as a result of expected wear and tear of materials and age factors caused by normal usage, in order to keep the equipment in working condition, Seller will submit to customer an estimate of needed repairs and their cost, which will be in addition to the charge payable under this Agreement. If the customer does not authorize such reconditioning, Seller may discontinue service of the equipment under this Agreement, refunding the unused portion of the maintenance charge, or may refuse to renew this Agreement upon its expiration. Thereafter, Seller will make service available on a “Per Call” basis at published rated in effect at the time of service.

6. TERM:

No more than one hundred eighty (180) days but not less than sixty (60) days prior to the expiration of the first initial term or any renewal term of this Agreement you shall give us written notice of your intention to either renew or cancel this account. If you fail to notify us, or having notified us, this Agreement shall renew for additional terms of twelve (12) months at a periodic rate equal to 100% of contract price.

7. CHARGES:

The initial charge for maintenance under this Agreement shall be the amount set forth on the reverse side of this Agreement. The maintenance charge with respect to any renewal term will be the charge in effect at the time of renewal. Customer agrees to pay the total of all charges for maintenance during the initial term within 10 days of the date of the Seller invoice for such charges. Customer understands that alternations, attachments, specification charges, or use of the sub-standard supplies that cause excessive service calls, may require an increase in maintenance charges and agrees to pay such charges promptly when due. If equipment is moved to a new Seller service zone, Seller shall have the option to charge, and the customer agrees to pay, the difference in published maintenance charges between the current zone and the new zone such charges be assessed on a pro- rata basis. If equipment is moved beyond Seller published service zone, customer agrees to pay a fair and reasonable up-charge for continued maintenance under this Agreement, taking into account the distance to customer’s new location and the published rates of Seller for service on a “Per Call” basis.

8. BREACH OR DEFUALT:

If the customer does not pay all the charges for maintenance or parts as provided under this Agreement, promptly when due: (1) Seller may refuse to service the equipment or(2) The customer agrees to pay Seller costs and expenses of collection including the maximum attorney’s fees permitted by law, in addition to contracted rate.

9. USE OF SELLER RECOMMENDED SUPPLY:

Seller product or designed to give excellent performance with Seller recommended supplies, including paper, developer, toner, and fuser oil. If the customer uses other than Seller recommended supplies and if such supplies are defective or not acceptable for use on machines and cause abnormally frequent service calls or service problems, the Seller may at its option, assess a surcharge or terminate the Agreement and the unused portion of the maintenance charge will be refunded in this event, the customer will be offered service on a “Per Call” basis at published rates. It is not a condition of this Agreement however, that the customer use only Seller authorized supplies.

10. NO WARRANTY:

DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIES, INCLUDING ANY IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR USE, OR FITNESS FOR A PARTICULAR PURPOSE CUSTOMER AGREES THAT SELLER IS NOT RESPONSIBLE FOR DIRECT, FNCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES ARISING OUT OF THE USE OF PERFORMANCE OF THE EQUIPMENT OR THE LOSS OF USE OF THE EQUIPMENT.

11. MISCELLANEOUS:

This agreement shall be governed by and construed according to the laws of the State of Utah applicable to agreements not wholly negotiated, executed and performed in the State of Utah.

12. TAXES:

Any applicable sales taxes will be added to contract amount.

13. ARBITRATION:

All claims, disputes and other matters in question arising out of or relating to this agreement or breach thereof shall be decided by arbitration with venue being the state of Utah, city of Salt Lake City, county of Salt Lake.

14. PAYMENT TERMS:

Payment terms are net (10) days from invoice date. Late charges assessed at 1.5% per month (18% per annum) or the extent allowable by law. A 20% handling charge on all returned merchandise will be applied.

15. OVERAGES AND COST ADJUSTMENTS:

You agree to comply with any billing procedures designated by us, including notifying us of the meter reading at the end of each month. At the end of the first year of this agreement and once each successful twelve month period, we may increase the base usage charge per copy and the per copy charge over the base minimum by a maximum of 15% of the existing charge.
